Terms and Conditions

This page contains the Terms and Conditions on which we supply any of the products purchased from giggleprint, either via means of purchase order or as purchased from our website.

The below definitions have been provided to help our customers understand the terms and conditions set out in this document.

  1. Definitions

Buyer: The organisation, person or company buying Goods from the Seller.

Seller: Crowd Control Solutiions Ltd t/a Giggleprint, 2A Blackthorn House, St Pauls Square, Birmingham, B3 1RL

Registered Company No: 10491028

Conditions:  The standard terms and conditions of sale, returns policy and any other terms agreed in writing by the Giggleprint ltd.

Goods: The products and/or services sold to the Buyer by the Seller in accordance with our terms and conditions.

Intellectual Property Rights: All patents, registered and unregistered designs, rights to inventions, copyright, trademarks, business and domain names and all other forms of intellectual property wherever in the world enforceable.

Price:The price set out in the list of prices of the Goods maintained by the Seller as amended from time to time or such other price as the parties may agree in writing plus such carriage, packing, insurance or other charges or interest on such as may be quoted by the Seller or as may apply in accordance with these conditions;

 

  1. General

These conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer. All orders received must automatically abide by our terms and conditions.  

  • 1 Any variations in these terms and conditions must be agreed in writing by the buyer and seller.
  • 2 The use of products sold by the seller are used at the sole discretion of the buyer. Any advice given by the Seller or its employees shall bear no recourse.
  • 3 Nothing in these Conditions shall affect the statutory rights of the Buyer.
  1. Price and Payment
  • 1 Payment is strictly prior to manufacture and dispatch unless a credit account has been agreed with the Seller in which event payment is due 30 days end of month.
  • 2 Interest and late payment charges in accordance with UK law shall be issued upon payment falling overdue.
  • 3 Credit accounts can be terminated at any time at the Sellers discretion upon which immediate payment will fall due.
  1. Description
  • 1 Any description applied to the Sellers goods is a closest narrative possible to the actual goods supplied. We cannot guarantee that the images you see on our website are an exact representation of what you will receive.
  1. Delivery
  • 1 Delivery of the Goods shall take place at the address specified by the Buyer. The Buyer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery.
  • 2 Delivery date and/or time specified by the seller is an estimated date only and can never be guaranteed. If delivery falls after the estimated delivery date, then the seller shall not be liable and payment for goods must still be received in full within full. Should the Buyer require the products for a specific date then they agree to contact the seller to arrange a dedicated delivery for which delivery could be guaranteed at an agreed cost in writing.
  • 3 If the Buyer fails to accept delivery after delivery has been attempted 3 times, then they agree to pay additional delivery charges to re-deliver the goods. Goods can also be invoiced in full after the first failed delivery attempt.
  1. Cancellations, Refunds and Returns
  • 1 Printed goods made to order and therefore refunds, and returns are not accepted (unless goods are found to be defective or printed in any way otherwise different from the agreed digital print proof. Please see section 7 Acceptance and Section 8 Warranty.  
  • 2 Non printed items are subject to standard 14 days returns policy. Full refunds shall be given once goods have been returned and inspected by the Seller. All return delivery costs shall be met by the Buyer and will not be refunded.
  1. Printing – Artwork and Colours
  • 1 All printed items are printed in CMYK colour mode and thus all artwork must be supplied to us in CMYK format.
  • 1.1 Templates providing all artwork requirements are provided on the Sellers website and/or can be obtained from contacting the Seller.
  • 1.2 Where artwork is supplied in any other colour format, it will be converted to CMYK and thus colours may appear different to the artwork presented by the Buyerand the seller holds no responsibility for this and colour expectations.
  • 1.3 Where a customer requires a specific match to Pantone or PMS colours then they must contact the supplier before purchasing direct or via the website to discuss further.

 

  1. Acceptance
  • 1 The Buyer is solely responsible for use of the goods in an appropriate and safe manner.
  • 2 For any damage, defects or quality issues with goods then the Seller must be contacted within 24 hours of delivery and provide evidence as such. After acceptance the Buyer shall not be entitled to reject Goods which are not in accordance with the contract.
  1. Defective Goods
    • 1 Where the Goods are found to be defective, the Seller will replace goods free of charge where the following conditions have been met;
    • The Buyer notifying the Seller in writing immediately upon the defect becoming apparent,
    • The defect is due to a faulty design, materials or workmanship.
    • All goods that are defective and agreed to be replaced shall be returned to the Seller at the Buyer’s expense.
  • 2 A claim for faulty or defective goods cannot be made where the Buyer has inappropriately used the goods, where deliberate damaged has been caused and or where goods are damaged by normal wear and tear.

 

  1. Liability
    • 1 No liability shall be incurred or accepted by the Seller in relation to the fitness of the goods or any purpose whatsoever. All goods are used at the buyer’s discretion.
    • 2 The Seller will not accept any claim for consequential or financial loss of any kind however caused.
  1. Limitation of Liability
    • 1 Where an independent body when acting in an official capacity finds that any part of Clause 10 above is, for whatever reason, unlawful, the Seller shall be liable for all loss or damage suffered by the Buyer but in an amount not exceeding the purchase price.
    • 2 Nothing contained in these Conditions shall be construed so as to limit or exclude the liability of the Seller for death or personal injury as a result of the Seller’s negligence or that of its employees or agents.
    • 3 The Seller shall not be liable for loss of earnings, data loss, loss of production, loss of contract, reputational loss or any other financial loss.
  1. Intellectual Property Rights
    • 1 All items on the Sellers website are the sole property of the Seller and cannot be reproduced, rewritten or transformed without written consent from the seller.
    • 2 Any contract agreed between the Seller and Buyer constitutes that the Seller shall not use any of the Buyers intellectual property rights unless otherwise agreed.
    • 3 All items printed by the Seller are constituted the Sellers property and therefore these can be reprinted, reproduced, photographed and used for the Sellers gains such as website pictures and/or social media unless previously agreed in writing between Seller and Buyer.
  1. Force Majeure
  • 1 The Seller cannot be held responsible for delay and/or failure to fulfil obligations if the reason doing so is attributed to events and/or circumstances outside of the Sellers control. This includes but is not limited to acts of God, power failure, water or natural resource shortages, fire, war, or accidents. In such instances, the Seller is allowed reasonable extension rights to its obligations. If the delay or failure to fulfil the obligation persists the Seller may, without liability, terminate the contract or any part of it.

 

  1. Data Protection
    • 1 At all times the Seller endeavours to comply with the Data Protection Act 2018 and the General Data Protection Regulations in its entirety.
    • 2 The Seller uses all reasonable procedures to ensure against data loss and personal data misuse in accordance with the General Data Protection Regulations.
    • 3 Email addresses, Postal Addressees, telephone numbers and any other customer information held by the Seller will not be sold onto third party companies and will only be used by the Seller for the sole use of processing purchases made by the Buyer.

  1. Jurisdiction
  • 1 This Agreement is governed by and construed in accordance with the law of England and the Seller and Buyer submit to the exclusive jurisdiction of the English courts.
